Welcome to Baked Potatoes. These Terms of Use, together with our Privacy Policy located at /privacy and any additional terms, policies, guidelines, or rules that we post or otherwise make available, govern your access to and use of the Baked Potatoes website, ratings, reviews, commentary, features, user-submission tools, user accounts, emails, advertising-supported features, applications, and related services, collectively, the “Services.”

These Terms form a legally binding agreement between you and Baked Potatoes, LLC, doing business as Baked Potatoes, and its owners, operators, affiliates, successors, and assigns, collectively, “Baked Potatoes,” “we,” “us,” or “our.”

By accessing or using the Services, creating an account, submitting content, posting a review, rating a movie or television show, clicking “I agree,” or otherwise indicating acceptance, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you may not access or use the Services.

1. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, located at /privacy, which explains how we collect, use, disclose, retain, and protect information about you.

The Privacy Policy should address, among other things, account registration information, profile information, user ratings and reviews, cookies and similar technologies, analytics, advertising, affiliate links, personalization, device information, IP addresses, email communications, privacy choices, and any rights available under applicable privacy laws.

By using the Services, you acknowledge that you have reviewed our Privacy Policy. To the extent there is a conflict between these Terms and the Privacy Policy regarding our privacy practices, the Privacy Policy will control.

2. Eligibility and Age Requirement

The Services are intended only for users who are 21 years of age or older.

By accessing or using the Services, you represent and warrant that you are at least 21 years old and have the legal right, authority, and capacity to agree to these Terms.

Baked Potatoes is an entertainment and movie/television review platform. However, because our branding, humor, rating terminology, and thematic references may include cannabis-related concepts, the Services are intended for adults only. Baked Potatoes does not sell cannabis, facilitate cannabis transactions, provide cannabis-related services, or encourage the use, purchase, possession, sale, distribution, cultivation, or consumption of cannabis or any controlled substance.

The Services are not directed to children, minors, or anyone under 21. We do not knowingly solicit or collect personal information from anyone under 21. If we learn that we have collected personal information from a person under 21, we may delete that information and terminate the associated account, subject to applicable law and our Privacy Policy.

3. Entertainment Purposes Only

All content on Baked Potatoes, including but not limited to movie reviews, television reviews, ratings, rankings, commentary, recommendations, summaries, lists, tags, labels, badges, and related materials, is provided strictly for entertainment and informational purposes only.

The reviews, ratings, rankings, and commentary available through the Services reflect subjective opinions, editorial judgments, third-party materials, user-submitted content, aggregated data, algorithms, weighting methodologies, or other inputs. They do not constitute professional film criticism, consumer advice, legal advice, financial advice, health advice, or any official recommendation.

You are solely responsible for how you interpret and use any information available through the Services.

4. No Encouragement of Illegal Activity

Baked Potatoes does not encourage, promote, endorse, facilitate, or condone the use, possession, distribution, sale, purchase, cultivation, or consumption of cannabis, marijuana, controlled substances, or any illegal substances.

Any references to cannabis, marijuana, potatoes, baking, or related terminology are used solely for branding, humor, parody, entertainment, rating-system terminology, or thematic effect.

Users are solely responsible for understanding and complying with all applicable local, state, federal, and international laws and regulations in their jurisdiction. We strongly encourage all visitors to obey all applicable laws at all times.

5. Rating System and Terminology

Baked Potatoes may use rating terms such as “Fully Loaded,” “Baked,” “Mashed,” and other themed terminology. These terms are used in a humorous and entertainment-oriented context only.

The rating system should not be interpreted literally and does not imply any endorsement of cannabis, drug use, illegal activity, or unlawful conduct.

Baked Potatoes may change, modify, rename, remove, recalibrate, or discontinue any rating category, scoring system, ranking methodology, badge, label, or terminology at any time without notice.

Ratings and rankings may be based on editorial discretion, user submissions, third-party reviews, third-party data, algorithms, weighting methodologies, availability of sources, or other factors. We do not guarantee that any rating, ranking, score, category, or recommendation is accurate, complete, objective, current, reliable, or suitable for any purpose.

6. Accuracy, Completeness, and Availability of Information

We do not guarantee that any content available through the Services is accurate, complete, current, reliable, error-free, or suitable for any particular purpose.

The Services may include errors, omissions, outdated information, typographical mistakes, incomplete review data, inaccurate metadata, broken links, incorrect release dates, incorrect streaming availability, incorrect cast or crew information, or other inaccuracies.

Ratings, rankings, and recommendations may change over time. We reserve the right to correct, update, remove, revise, or clarify any content at any time without prior notice, but we have no obligation to do so.

We may change, suspend, restrict, discontinue, or remove any feature, content, rating system, ranking, methodology, account function, or portion of the Services at any time without notice or liability.

7. Limited License to Use the Services

Subject to your compliance with these Terms, Baked Potatoes grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial entertainment and informational use.

Except as expressly permitted by these Terms or by our prior written consent, you may not:

  • copy, reproduce, modify, distribute, display, perform, publish, license, sell, resell, exploit, or create derivative works from the Services or any content available through the Services
  • use the Services or content for any commercial purpose
  • use Baked Potatoes ratings, review compilations, categories, metadata, scoring systems, or terminology in any competing product or service
  • remove or alter copyright, trademark, attribution, or proprietary notices
  • access or use the Services in violation of applicable law.

All rights not expressly granted to you are reserved by Baked Potatoes and its licensors.

8. Intellectual Property

The Services, including the Baked Potatoes name, logos, branding, design, text, graphics, interfaces, layout, rating system, rating terminology, editorial content, original reviews, compilations, databases, data structures, software, source code, object code, algorithms, and other materials, are owned by Baked Potatoes or its licensors and are protected by copyright, trademark, trade dress, database, unfair competition, and other laws.

You may not use the Baked Potatoes name, logos, branding, rating terminology, or other proprietary materials without our prior written permission, except as permitted by applicable law.

All third-party trademarks, titles, logos, names, images, posters, videos, clips, and other materials referenced or displayed through the Services remain the property of their respective owners. No affiliation, sponsorship, approval, or endorsement by any third party is implied unless expressly stated.

9. Third-Party Content and Fair Use

The Services may display or reference third-party materials, including movie titles, television titles, posters, stills, trailers, clips, cast information, crew information, studio names, network names, streaming-service names, critic excerpts, publication names, logos, trademarks, ratings, reviews, metadata, or links.

Such materials may be used for purposes such as identification, commentary, criticism, review, news reporting, education, parody, nominative reference, informational display, or other lawful purposes, including where applicable under fair use or similar principles.

Baked Potatoes does not claim ownership of third-party content unless expressly stated. All trademarks, copyrights, and other rights remain with their respective owners.

10. User Accounts

Some features may require you to create an account or provide registration information.

You agree to provide accurate, current, and complete information and to maintain the accuracy of that information. You are responsible for maintaining the confidentiality of your username, password, and account credentials.

You are responsible for all activity that occurs under your account, whether or not authorized by you. You agree to notify us promptly at tech@backedp.com if you believe your account has been compromised or used without authorization.

You may not create an account using false information, impersonate another person or entity, create an account for anyone other than yourself without authorization, use another person’s account without permission, or create multiple accounts to manipulate ratings, reviews, rankings, or enforcement decisions.

We may refuse registration, suspend accounts, terminate accounts, reclaim usernames, remove content, or restrict access to the Services at any time in our discretion.

11. User-Submitted Content

The Services may allow users to submit, post, upload, transmit, rate, review, comment on, or otherwise make available content, including reviews, ratings, comments, profile information, usernames, lists, recommendations, messages, feedback, or other materials, collectively, “User Content.”

You are solely responsible for your User Content. Baked Potatoes does not endorse, verify, or assume responsibility for User Content posted by you or any other user.

By submitting User Content, you represent and warrant that:

  • you own or control all rights necessary to submit the User Content
  • your User Content is accurate to the best of your knowledge
  • your User Content does not infringe, misappropriate, or violate any copyright, trademark, privacy right, publicity right, contractual right, or other right of any third party
  • your User Content does not violate any applicable law or regulation
  • your User Content does not contain unlawful, defamatory, obscene, harassing, abusive, threatening, hateful, fraudulent, misleading, spam, malware, or otherwise objectionable material
  • your User Content does not include undisclosed paid, sponsored, promotional, or incentivized reviews or ratings.

We may, but are not required to, review, monitor, screen, edit, remove, disable access to, or refuse to display User Content at any time and for any reason, including if we believe User Content violates these Terms, applicable law, third-party rights, community standards, or the integrity of the Services.

12. License to User Content

By submitting User Content to or through the Services, you grant Baked Potatoes a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, sublicensable, non-exclusive license to use, host, store, reproduce, modify, adapt, publish, translate, display, perform, distribute, promote, excerpt, analyze, index, create derivative works from, and otherwise exploit your User Content in connection with the Services and Baked Potatoes’ business.

This license includes the right to use your username, display name, likeness, profile information, ratings, reviews, and other identifying information associated with your User Content, subject to our Privacy Policy.

You understand that User Content may be publicly visible and may be copied, shared, indexed, archived, or otherwise used by others. We are not required to remove User Content, and User Content may continue to appear after you delete your account, subject to applicable law and our Privacy Policy.

To the maximum extent permitted by law, you waive and agree not to assert any moral rights, attribution rights, or similar rights you may have in User Content against Baked Potatoes or our licensees.

13. Feedback

If you provide us with suggestions, ideas, proposals, concepts, feature requests, corrections, ratings methodology suggestions, business ideas, creative ideas, or other feedback, you agree that Baked Potatoes may use that feedback without restriction, compensation, acknowledgment, or obligation to you.

You grant Baked Potatoes all rights necessary to use, disclose, reproduce, modify, commercialize, and otherwise exploit such feedback for any purpose.

14. Community Rules and Prohibited Conduct

You may not use the Services to:

  • violate any applicable law or regulation
  • infringe or violate the rights of any person or entity
  • submit false, misleading, defamatory, obscene, abusive, threatening, hateful, harassing, discriminatory, or otherwise objectionable content
  • impersonate any person or entity or misrepresent your affiliation with any person or entity
  • submit spam, advertisements, promotions, solicitations, chain letters, or other unauthorized commercial content
  • upload malware, viruses, corrupted files, or harmful code
  • interfere with or disrupt the operation, security, integrity, or performance of the Services
  • attempt to gain unauthorized access to accounts, systems, data, or networks
  • manipulate, distort, or interfere with ratings, rankings, reviews, votes, scores, badges, lists, recommendations, or other platform features
  • create multiple accounts to manipulate ratings, evade enforcement, or mislead others
  • postpaid, sponsored, promotional, or incentivized reviews without clear disclosure
  • coordinate review bombing, artificial inflation, artificial deflation, brigading, or other manipulation campaigns
  • use automated systems to submit ratings, reviews, votes, comments, account registrations, or other activity
  • harvest, collect, or misuse personal information from other users
  • use the Services for any unlawful, fraudulent, deceptive, or harmful purpose
  • use the Services to promote or facilitate cannabis transactions, illegal drug activity, or any other illegal activity.

We may investigate suspected violations and may remove content, suspend accounts, terminate accounts, block access, report activity to law enforcement, or take other action in our discretion.

15. No Scraping, Bots, Data Mining, or Unauthorized AI Use

You may not use bots, spiders, crawlers, scrapers, data-mining tools, extraction tools, automated queries, browser automation, scripts, APIs, artificial intelligence systems, machine learning pipelines, or similar technologies to access, copy, monitor, collect, harvest, index, train on, store, or reuse the Services or any content available through the Services without our prior written consent.

This restriction applies to, among other things:

  • ratings
  • reviews
  • rankings
  • movie or television metadata
  • score compilations
  • user reviews
  • editorial content
  • images
  • page layouts
  • databases
  • rating terminology
  • Baked Potatoes’ original content or methodology.

You may not use content from the Services to train, fine-tune, validate, benchmark, or develop artificial intelligence or machine learning models without our prior written permission.

16. Advertising, Personalization, Affiliates, and Third-Party Services

The Services may include advertising, sponsored content, affiliate links, promotional placements, recommendations, analytics, personalization features, cookies, pixels, tracking technologies, and integrations with third-party platforms or service providers.

By using the Services, you understand that Baked Potatoes may display advertisements and may personalize content, recommendations, ratings experiences, or advertising based on information described in our Privacy Policy.

Baked Potatoes may receive compensation from advertisers, sponsors, affiliate partners, streaming platforms, ticketing services, studios, networks, distributors, or other third parties. Sponsored, paid, affiliate, or promotional content will be identified where required by applicable law.

The Services may include links, embeds, advertisements, widgets, APIs, integrations, or references to third-party websites, apps, services, content, products, or platforms. We do not control and are not responsible for third-party services, content, policies, practices, availability, accuracy, legality, or security. Your use of third-party services is governed by the terms and privacy policies of those third parties.

Nothing on the Services should be understood as an endorsement, sponsorship, or affiliation with any movie studio, television network, streaming service, distributor, actor, creator, advertiser, cannabis business, or other third party unless expressly stated.

17. Mobile Features and Communications

If the Services include mobile features, email alerts, push notifications, SMS/text messages, or similar communications, you agree that we may send you communications related to your account, the Services, security, legal notices, and administrative matters.

Marketing communications will be provided in accordance with applicable law and our Privacy Policy. You may opt out of marketing communications as described in the communication or in our Privacy Policy, but you may still receive transactional, administrative, security, or legal communications.

You are responsible for any carrier fees, data charges, internet charges, or other costs associated with your use of the Services.

19. Changes to the Services

We may change, suspend, discontinue, restrict, or remove all or part of the Services at any time, with or without notice.

This includes the right to modify or discontinue features, accounts, ratings, rankings, review categories, score methodologies, editorial policies, user-submission features, content, databases, advertising features, or access to the Services.

We will not be liable to you or any third party for any modification, suspension, discontinuation, restriction, or removal of the Services or any content.

20. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT, RATINGS, REVIEWS, RANKINGS, COMMENTARY, USER CONTENT, THIRD-PARTY CONTENT, ADVERTISEMENTS, FEATURES, AND MATERIALS AVAILABLE THROUGH THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAKED POTATOES DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, AND QUIET ENJOYMENT.

BAKED POTATOES DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
  • DEFECTS OR ERRORS WILL BE CORRECTED
  • THE SERVICES OR SERVERS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS
  • ANY CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE
  • ANY RATING, REVIEW, RANKING, OR RECOMMENDATION WILL MEET YOUR EXPECTATIONS
  • ANY ADVERTISEMENT, THIRD-PARTY LINK, OR THIRD-PARTY SERVICE WILL BE ACCURATE, SAFE, LAWFUL, AVAILABLE, OR SUITABLE FOR YOU.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAKED POTATOES, ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAKED POTATOES’ TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO BAKED POTATOES, IF ANY, IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you. In those jurisdictions, liability will be limited to the greatest extent permitted by law.

22. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Baked Potatoes and its owners, operators, officers, directors, employees, contractors, contributors, affiliates, licensors, service providers, and agents from and against any claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your access to or use of the Services
  • your User Content
  • your violation of these Terms
  • your violation of applicable law
  • your infringement or violation of any third-party rights
  • your manipulation or attempted manipulation of ratings, reviews, rankings, or accounts
  • any activity occurring under your account.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.

23. Termination and Suspension

We may suspend, terminate, restrict, or deny your access to all or part of the Services at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms, created risk or liability, infringed rights, manipulated ratings, abused the Services, or harmed other users.

Upon termination, your right to access and use the Services will immediately cease. Any provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, user-content licenses, feedback, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous terms.

24. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Services, your account, User Content, ratings, reviews, advertising, communications, or your relationship with Baked Potatoes will be governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

You are responsible for complying with all local, state, federal, and international laws that may apply to your use of the Services.

25. Venue

Subject to the arbitration provisions below, you and Baked Potatoes agree that any lawsuit, action, or proceeding arising out of or relating to these Terms, the Privacy Policy, or the Services will be brought exclusively in the state or federal courts located in Cook County, Illinois.

You and Baked Potatoes consent to the personal jurisdiction of those courts and waive any objection that those courts are an inconvenient forum.

26. Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, YOUR RIGHT TO A JURY TRIAL, AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

26.1 Informal Dispute Resolution

Before either you or Baked Potatoes initiates arbitration or files a claim in court, the party seeking to bring a claim must first provide written notice of the dispute to the other party and attempt to resolve the dispute informally.

If you have a dispute with Baked Potatoes, you must send written notice to:

Your notice must include your name, the email address associated with your account if applicable, a description of the dispute, the facts supporting your position, and the relief you seek.

If Baked Potatoes has a dispute with you, we may send notice to the email address associated with your account or otherwise available to us.

The parties will attempt in good faith to resolve the dispute informally for 60 days after notice is received. Any applicable statute of limitations will be tolled during this informal dispute-resolution period to the extent permitted by law.

26.2 Agreement to Arbitrate

Except for the exceptions stated below, you and Baked Potatoes agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Services, your account, User Content, ratings, reviews, advertising, communications, or your relationship with Baked Potatoes will be resolved by final and binding arbitration rather than in court.

This agreement to arbitrate applies regardless of whether the claim is based in contract, tort, statute, fraud, misrepresentation, consumer protection, privacy, advertising, intellectual property, or any other legal theory.

The arbitration will be governed by the Federal Arbitration Act and administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, except as modified by these Terms. If the AAA is unavailable or unwilling to administer the arbitration, the parties will mutually agree on another arbitration provider. If the parties cannot agree, a court of competent jurisdiction may appoint an arbitration provider.

The arbitrator will have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including whether any claim is subject to arbitration, except that a court will decide any dispute regarding the enforceability, validity, or scope of the class action waiver below.

The arbitrator will have authority to award the same individual remedies that a court could award, subject to the limitations and waivers in these Terms.

26.3 Arbitration Procedures

Unless the parties agree otherwise, arbitration will be conducted remotely by video conference, telephone, or written submissions. If an in-person hearing is required, it will take place in Cook County, Illinois, unless applicable law requires a different location.

The arbitration will be conducted by a single neutral arbitrator. The arbitrator will issue a written decision explaining the essential findings and conclusions on which the award is based.

Each party will be responsible for its own attorneys’ fees and costs unless applicable law or the arbitration rules provide otherwise.

Judgment on the arbitration award may be entered in any court having jurisdiction.

26.4 Exceptions to Arbitration

The following claims are not required to be arbitrated:

  • claims that qualify for small claims court
  • claims seeking only temporary or preliminary injunctive relief
  • claims involving actual or threatened infringement, misappropriation, or violation of copyrights, trademarks, trade secrets, patents, rights of publicity, or other intellectual property rights
  • claims that applicable law does not permit to be arbitrated.

Any court proceeding under these exceptions must be brought in the courts identified in the Venue section, unless applicable law requires otherwise.

26.5 Class Action Waiver

YOU AND BAKED POTATOES AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION.

Unless both you and Baked Potatoes agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims and may not preside over any class, collective, consolidated, private attorney general, or representative proceeding.

If this class action waiver is found to be unenforceable as to a particular claim or request for relief, then that claim or request for relief may be severed and brought in court, while any remaining claims must be arbitrated to the maximum extent permitted by law.

26.6 Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND BAKED POTATOES WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE, CLAIM, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE PRIVACY POLICY, OR THE SERVICES.

26.7 30-Day Opt-Out Right

You may opt out of the arbitration agreement and class action waiver by sending written notice to tech@backedp.com within 30 days after the first date you use the Services or create an account, whichever is earlier.

Your opt-out notice must include your name, the email address associated with your account if applicable, and a clear statement that you wish to opt out of the arbitration agreement.

Opting out of arbitration will not affect any other part of these Terms.

26.8 Severability

Except as otherwise provided in the class action waiver section, if any part of this arbitration agreement is found invalid or unenforceable, the remaining parts will remain in effect to the maximum extent permitted by law.
